A private limited company is formed under the Companies Act, 2013, presently through the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) web form on the MCA portal. The registered office can be in Gorakhpur, Basti or Ayodhya. The subscribers can be resident individuals. The work is documentary, not mysterious.
Before the form
- Two directors (for a private company) with DIN or with the DIN application bundled in SPICe+.
- Digital signature certificates of the subscribers and directors.
- A name that will pass Part A — not too close to an existing company or a trade mark.
- Registered-office proof in the district you actually mean to use.
- Identity and address proofs, photographs in the form the portal currently specifies.
- MOA and AOA objects that match what the company will actually do (manufacturing at GIDA, hotel in Ayodhya, trading, a holding vehicle).
The form, and then the first month
SPICe+ presently bundles name, incorporation, PAN, TAN, EPFO, ESIC, and professional-tax registrations as applicable, and can be linked to GST. After the Certificate of Incorporation: first auditor within 30 days (section 139(6)), bank account, share certificates, registers, and — if the company will trade or manufacture — GST additional places, Udyam, and a chart of accounts. AGM and AOC-4 are a year away; DIR-3 KYC is every September.
The annual cycle is ROC annual filings for private companies. Documents at a glance: documents for incorporation.
Questions this page usually meets
Can the registered office be a residence in Basti?
Yes, if the company has a right to use the premises and can produce the proof the MCA and the bank will accept (utility bill, NOC, rent agreement as the case may be). A purely paper office with no one who can receive a notice is a later problem.
