A private company has an annual conversation with the Registrar of Companies, whether or not it did much business. The financial statements and the annual return are the two large filings. Director KYC, auditor appointment and a handful of event-based forms sit around them. Additional fees for delay are not a planning tool.
The spine of the year
- Board report and financial statements, audited.
- Annual general meeting (or the deemed provisions that apply to certain small companies — still, do not assume silence is a filing).
- AOC-4 within 30 days of the AGM.
- MGT-7 or MGT-7A within 60 days of the AGM.
- DIR-3 KYC of every DIN, ordinarily by 30 September, regardless of AGM.
- ADT-1 when the auditor is appointed or reappointed.
- DPT-3 by 30 June; MSME-1 on the half-yearly dates if applicable.
Dates move when the MCA or the Act says they move. The compliance calendar holds the ordinary dates. Incorporation, which starts this clock, is company incorporation in Uttar Pradesh.
