Company law and ROC

Incorporation of companies and LLPs, namedirector KYC, AOC-4, MGT-7, and the event-based forms that follow any change in capital, directors or registered office.

Company-law work is the life-cycle of a company or LLP on the Ministry of Corporate Affairs portal: forming it, keeping its register and filings true, and recording every change the Act requires. A private company in GIDA, a hospitality company in Ayodhya, and a family holding company in Basti use the same forms; they do not use them at the same pace.

The annual cycle

  • DIR-3 KYC of every DIN, ordinarily by 30 September.
  • Financial statements (AOC-4) within 30 days of the AGM.
  • Annual return (MGT-7 / MGT-7A) within 60 days of the AGM.
  • ADT-1 on appointment or reappointment of the auditor.
  • DPT-3 for deposits and exempted deposits, ordinarily by 30 June.
  • MSME-1 for specified outstanding dues, 30 April and 31 October.

Event-based forms — change of directors, registered office, capital, charges — have their own clocks, often 15 or 30 days. A calendar view is on the compliance calendar. The annual-filing walkthrough is ROC annual filings for private companies.

Frequently asked

How long does incorporation take?
Once name, documents and DSCs are in order, SPICe+ incorporation is typically measured in a few working days, subject to MCA processing and any resubmission. The slow step is almost always the documents, not the portal. See Company incorporation in Uttar Pradesh.
